These Terms of Use ("Terms") govern your use of Girgit, the agency management platform of Half Eaten Donut Private Limited ("Half Eaten Donut", "HED", "we", "us"). Girgit is available on the web at girgit.app and as mobile apps for Android and iOS (together, the "Service"). By signing in to or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. Who may use Girgit

Girgit is a business tool for:

  • HED team members (administrators, accountants, HR and employees), whose accounts are created by HED;
  • HED's clients and their authorised staff, whose accounts are created by HED; and
  • Job candidates who create an account on our careers page.

You must be at least 18 years old. If you use the Service on behalf of a company, you confirm that you are authorised to do so. Your use of the Service is also governed by any employment agreement, service agreement or contract you have with HED. If that agreement conflicts with these Terms, the agreement prevails.

2. Your account

  • Keep your password confidential and do not share your account. You are responsible for all activity under your account.
  • Give accurate information and keep it up to date.
  • Tell us immediately at media@halfeatendonut.in if you suspect unauthorised access.
  • HED may change your access, role or permissions, or suspend or close your account. Examples include when employment or an engagement ends, when these Terms are breached, or to protect the Service.

3. Acceptable use

You agree not to:

  • access data, modules or accounts that you are not authorised to see, or try to get around role-based restrictions;
  • copy, export or share confidential information of HED, its clients or employees except as your role requires;
  • upload unlawful, infringing, offensive or harmful content, or malware;
  • interfere with, overload, scan or attempt to break the security of the Service;
  • reverse engineer, resell or build a competing product from the Service; or
  • use the Service for any unlawful purpose.

4. Content and data

  • Your content. You keep ownership of the files and information you upload. You allow HED to store, process and display them to operate the Service, as described in the Privacy Policy.
  • Business records. Tasks, invoices, purchase orders, payroll, leave, attendance and other records created in the Service belong to HED or to the relevant client under their agreement with HED.
  • Accuracy. You are responsible for the accuracy of the information you enter or approve.
  • Confidentiality. Information in the Service, including client data and salary data, is confidential. You must keep it confidential during and after your use of the Service.

5. Electronic signatures and approvals

When you approve something in the Service (for example a purchase order, leave request or invoice), sign a contract, or accept a proposal online, you agree that your action is legally binding. This applies whether you type your name or draw your signature. It has the same effect as a handwritten signature, under the Information Technology Act, 2000. We record the signer's name, the time, IP address and device details as evidence.

6. Payments

Invoices, fees and payment terms for clients are set out in the relevant contract or proposal. Online payments are processed by our payment partner (Razorpay) under its own terms. HED does not store your full card details.

7. Intellectual property

The Service, including its software, design, logos, the "Girgit" and "Half Eaten Donut" names and all related materials, is owned by HED or its licensors. We grant you a limited, non-exclusive, non-transferable right to use the Service for its intended business purpose while your account is active. No other rights are granted.

8. Third-party services

The Service relies on third-party providers such as hosting, cloud storage, email, WhatsApp messaging, payments, push notifications and AI features. Their services are governed by their own terms, and we are not responsible for their availability or actions.

9. AI features

Some features use artificial intelligence to suggest or generate content, such as summaries or drafts. AI output may be inaccurate. Review it before you rely on it or share it.

10. Availability and changes

We work to keep the Service available and secure, but it is provided "as is" and "as available". It may be interrupted for maintenance, updates or reasons beyond our control. We may add, change or remove features at any time.

11. Limitation of liability

To the fullest extent permitted by law, HED is not liable for any indirect, incidental, special or consequential loss, or for loss of profits, revenue, data or business, arising from your use of the Service. HED's total liability for any claim related to the Service is limited to the amount, if any, you paid HED for the Service in the three months before the claim. Nothing in these Terms limits liability that cannot be limited by law. Liability terms in a separate contract with HED take priority for matters covered by that contract.

12. Indemnity

You agree to indemnify HED against claims, losses and costs arising from your breach of these Terms, your misuse of the Service, or content you upload.

13. Ending your use

You may stop using the Service at any time. You can ask to close your account or delete your data as described in the Privacy Policy. HED may suspend or end your access as set out in section 2. Sections 4, 5, 7, 11, 12 and 14 continue to apply after your access ends.

14. Governing law

These Terms are governed by the laws of India. The courts at Bengaluru, Karnataka have exclusive jurisdiction over any dispute arising from them.

15. Changes to these Terms

We may update these Terms from time to time. We will post the new version at girgit.app/terms with a new "Last updated" date and, for significant changes, notify users in the app or by email. Continuing to use the Service after the changes means you accept them.
